The way I understood it is that the question presented deals with the
authority of the board of directors to change by-laws adopted by the
shareholders. In other words, that means whether the shareholders have
the authority to bind the board with by-laws adopted by them in case
the board opposes such shareholders' action. I think this addresses
both questions Michelle asks, if I am not mistaken.
